A prestigious law firm is seeking a highly skilled associate to join its private investment funds practice in either its New York or Boston office. This role offers the opportunity to work on complex fund formations, advising clients on the structuring, launch, and operation of closed-end private investment funds, including venture capital, private equity, real estate, and hedge funds. The successful candidate will provide strategic counsel to fund sponsors and institutional investors, ensuring compliance with evolving regulatory requirements while facilitating sophisticated investment strategies.
Key Responsibilities:

Structuring and forming closed-end private investment funds, including drafting and negotiating key fund documents such as limited partnership agreements, operating agreements, private placement memoranda (PPMs), and subscription agreements.

Advising fund sponsors on all aspects of fund formation, governance, and operational matters, including regulatory compliance with the Investment Advisers Act, the Securities Act, and other relevant regulations.

Counseling institutional investors on fund investments, due diligence, and co-investment opportunities.

Collaborating with cross-disciplinary teams, including tax, securities, and corporate attorneys, to ensure comprehensive client representation.

Staying abreast of regulatory developments and market trends affecting the private funds industry and advising clients on their potential impact.
Qualifications & Skills:

JD or LLM from an ABA-accredited law school.
*
Admission to or eligibility for admission in New York or Massachusetts.
*
At least four years of experience advising fund managers and institutional investors on private fund formation and regulatory compliance.

Strong understanding of securities laws, fund structures, and investment vehicles.

Excellent drafting, negotiation, and analytical skills.
*
Ability to manage multiple transactions and deadlines in a fast-paced environment.

Strong client service skills with the ability to communicate complex legal concepts clearly and effectively.
