Private Equity Associate - New York Office A leading global law firm is seeking a highly skilled and self-driven Private Equity Associate to join its dynamic team. This role will be crucial in providing legal counsel and support to clients engaged in private equity transactions. The ideal candidate will have 3 to 6 years of proven experience representing private equity sponsors in acquisitions, dispositions, and financings. This position is based in the New York office. Key Responsibilities: * Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and financing documents. * Conduct thorough due diligence and research on potential investment opportunities. * Advise clients on regulatory compliance issues related to private equity transactions. * Assist in the structuring and formation of private equity funds. * Provide guidance on transactions, corporate governance matters, and securities regulations. * Collaborate with cross-functional teams to ensure the seamless execution of transactions. * Lead various parts of transactions independently. * Supervise and professionally develop junior colleagues on the team. * Stay updated on industry trends, legal developments, and best practices in private equity law. Required Qualifications: * 3 to 6 years of proven legal experience working on private equity transactions, preferably at a large law firm, including representing private equity and strategic investors. * Strong knowledge of corporate law and securities regulations. * Excellent drafting, negotiation, and analytical skills. * Ability to manage priorities in a fast-paced, deadline-driven environment. * J.D. degree from an accredited law school and admission to practice in the state of New York. Compensation: The anticipated pay range for this position is $260,000 - $390,000, in accordance with New York's Pay Transparency Law. This range represents a good faith and reasonable estimate of the starting salary at the time of posting.
