3rd-6th year EC/VC Associate (Chambers band-3 ranked practice)

Key Responsibilities: * Advise and represent clients in venture capital financings, mergers and acquisitions, and other corporate transactions, including equity and debt financings. * Draft and negotiate a wide range of legal documents, including venture capital financing agreements, term sheets, stockholder agreements, and corporate governance documents. * Provide strategic advice to emerging growth companies on corporate structuring, formation, and governance matters. * Lead clients through complex transactions from inception to closing, including deal structuring, due diligence, and post-closing matters. * Cultivate and maintain strong relationships with clients, investors, and other stakeholders. * Mentor and collaborate with junior associates and legal staff, offering guidance and development opportunities. Qualifications: * J.D. with 3-6 years of experience in corporate law, particularly in the ECVC space. * Strong understanding of venture capital, private equity, mergers and acquisitions, and capital markets. * Excellent drafting and negotiation skills. * Proven ability to manage multiple projects in a fast-paced environment. * Strong interpersonal and communication skills, with a collaborative approach to client and team interactions. * Outstanding academic credentials and experience at a leading law firm or in-house legal department.
