The Mergers & Acquisitions (M&A) team within the Strategic Transactions Group is seeking experienced, mid-level associates to join our New York office. As part of this dynamic team, associates will support our clients on various aspects of mergers and acquisitions transactions, including due diligence, drafting and negotiating agreements, providing legal advice, and collaborating with cross-functional teams to ensure compliance with regulatory requirements and internal policies. This is an exciting opportunity for legal professionals looking to work on high-impact deals with top-tier clients. Key Responsibilities: * Conduct thorough due diligence on potential merger and acquisition targets, including reviewing financial statements, contracts, and other key documents. * Draft and negotiate acquisition transactional documents such as merger agreements, asset purchase agreements, and confidentiality agreements. * Manage the due diligence process for mergers and acquisitions, ensuring thoroughness and efficiency. * Conduct legal research and analysis on complex legal issues related to M&A transactions. * Provide strategic legal advice to clients on various M&A matters, including regulatory and compliance issues. * Collaborate effectively with internal and external stakeholders to ensure compliance with applicable laws, regulations, and industry best practices. * Assist in the preparation and review of legal documents, including legal opinions, memoranda, and presentations. * Stay current on industry trends and legal developments to provide proactive and insightful legal advice to clients. Required Qualifications: * 4 - 6 years of legal experience, with a focus on M&A, currently working at an AmLaw 100 law firm as an M&A associate. * Demonstrated experience representing both public and private companies in various transactions, including acquisitions, joint ventures, and corporate governance. * Strong understanding of industry trends and evolving market terms related to mergers and acquisitions. * Exceptional drafting and attention to detail, with direct responsibility for drafting primary and ancillary acquisition transactional documents. * Proven ability to manage parts of transactions independently and collaborate effectively within a team. * Strong academic credentials, including a Juris Doctor (J.D.) degree from an accredited law school. * Admission to the New York Bar and in good standing. Preferred Skills and Abilities: * Ability to manage multiple complex tasks simultaneously while meeting deadlines. * Strong communication and interpersonal skills to work with clients, colleagues, and other stakeholders. * Demonstrated leadership and initiative within previous roles.
