A prestigious law firm in New York is seeking a highly motivated and experienced Mid-Level Associate to join its Capital Markets team. This role offers an exciting opportunity to work on a wide variety of complex and high-profile matters in both the public and private sectors. The ideal candidate will have 2-6 years of experience at a large law firm, with a strong focus on capital markets, SEC compliance, and corporate governance.
Key Responsibilities:
* Assist in the structuring, drafting, and negotiation of public and private debt and equity offerings, including IPOs, follow-on offerings, and private placements.
* Advise clients on SEC reporting requirements under the Securities Act of 1933 and the Securities Exchange Act of 1934, including periodic filings, proxy statements, and other disclosure obligations.
* Provide guidance on corporate governance matters, including board of director and shareholder issues, compliance with stock exchange listing rules, and best practices.
* Collaborate with clients on a range of capital-raising transactions, such as initial public offerings, mergers and acquisitions, and debt offerings.
* Work with senior associates and partners to manage transactions from inception through completion, ensuring all deadlines and client expectations are met.
* Counsel clients on regulatory matters and help navigate SEC investigations, enforcement actions, and other compliance-related issues.
* Stay current on trends and developments in securities law, capital markets, and corporate governance.
Qualifications:
* 2-6 years of experience at a large law firm, with a strong background in capital markets transactions and SEC regulatory matters.
* Proficiency in SEC and stock exchange compliance, as well as in-depth knowledge of public company disclosure obligations.
* Experience working on IPOs, public debt and equity offerings, and corporate governance matters.
* Exceptional research, writing, and communication skills, with the ability to work effectively with both clients and colleagues.
* A JD from an accredited law school and admission to the state bar in the location where the candidate prefers to work.
