A well-established Am Law top 100 law is seeking a highly motivated associate with 2-3 years of experience specializing in capital markets and corporate transactional work. This role is an excellent opportunity for a candidate who is passionate about securities law and corporate transactions and is looking to take their legal career to the next level by joining a dynamic and collaborative team. Key Responsibilities: * Securities and Transactional Expertise: Provide comprehensive legal support for capital markets transactions, including public offerings, private placements, and follow-on offerings. This includes working with CMPOs (Confidentially Marketed Public Offerings), RDs (Registered Direct Offerings), PIPEs (Private Investment in Public Equity), and ATMs (At-the-Market Offerings). * Legal Drafting and Negotiation: Draft, review, and negotiate complex legal documents such as offering memoranda, prospectuses, underwriting agreements, and related securities filings. * Regulatory Compliance: Ensure all transactions comply with the Securities Act, Securities Exchange Act, and other applicable regulations, including preparing and reviewing related SEC filings (e.g., registration statements, Form 10-Ks, Form 10-Qs, and Form 8-Ks). * Client Engagement: Build and maintain strong relationships with clients, advising them on legal strategies, regulatory requirements, and transaction structuring. * Project Management: Oversee all aspects of transactional matters, ensuring timely and efficient execution of deliverables while managing multiple priorities in a fast-paced environment. Required Qualifications: * Experience: 2-3 years of relevant experience in capital markets and corporate transactions, ideally gained at a reputable law firm. * Technical Knowledge: In-depth familiarity with the Securities Act, Securities Exchange Act, and related transaction processes, including exposure to complex securities and capital markets transactions. * Academic Background: A Juris Doctor (JD) from a top-tier law school, with strong academic credentials. * Skills: Exceptional drafting, analytical, and negotiation abilities, with a keen attention to detail and a client-focused mindset. * Flexibility: Willingness to work across the firm's various office locations and the ability to comply with jurisdictional bar requirements. Compensation and Benefits: This role offers a highly competitive base salary ranging from $225,000 to $250,000, commensurate with experience, expertise, and market trends.
