A leading international law firm is seeking a 4th-year associate to join its Capital Markets practice in New York. This position offers an exciting opportunity to work with a highly respected team on innovative and high-profile transactions across a variety of industries, including technology, life sciences, and renewable energy.
Key Responsibilities
* Advise issuers and underwriters on a range of equity and debt offerings, including initial public offerings (IPOs), follow-on offerings, private placements, and convertible debt transactions.
* Provide counsel on ongoing SEC compliance and reporting obligations, including periodic filings, proxy statements, and corporate governance matters.
* Assist clients in navigating securities regulations, including compliance with the Securities Act of 1933, the Exchange Act of 1934, and other applicable laws.
* Draft and negotiate offering materials, prospectuses, indentures, underwriting agreements, and other related transaction documentation.
* Collaborate closely with clients and internal teams to deliver tailored, business-focused solutions for complex capital markets transactions.
Qualifications
* JD from a top-tier law school with strong academic credentials.
* At least four years of experience in capital markets at a leading law firm, with expertise in public and private offerings and SEC compliance.
* Strong knowledge of securities laws and regulations.
* Exceptional drafting, analytical, and project management skills.
* Ability to build and maintain effective relationships with clients and internal teams.
* Admission to the New York Bar and in good standing.
