Position Overview:
The firm is looking for a highly motivated 4th to 8th-year Capital Markets Associate with experience in public company reporting compliance, corporate governance, SEC compliance, disclosure matters, and Nasdaq/NYSE compliance. The role involves providing strategic legal advice on a range of capital markets transactions and compliance issues, working closely with public companies to ensure they meet their regulatory obligations.
Key Responsibilities:
Advising clients on public company reporting and compliance matters, including periodic SEC filings such as 10-Ks, 10-Qs, and 8-Ks.
Providing guidance on corporate governance best practices, disclosure requirements, and compliance with SEC regulations and stock exchange rules (Nasdaq/NYSE).
Assisting with securities offerings, including IPOs, follow-on offerings, and other equity and debt transactions.
Drafting and reviewing disclosure documents, proxy statements, and other filings related to public company governance and compliance.
Collaborating with partners and senior attorneys on complex capital markets transactions and regulatory matters.
Candidate Requirements:
4-8 years of experience in capital markets, securities compliance, and public company governance at a leading law firm.
Strong background in SEC compliance, public company reporting, and Nasdaq/NYSE compliance.
Excellent drafting and communication skills, with the ability to manage complex compliance and governance matters.
Strong academic credentials and admission to the New York Bar.
Ability to work in a fast-paced environment, handle multiple responsibilities, and collaborate effectively with teams.
