Position Overview:
The firm is looking for an experienced Capital Markets Associate to advise clients on a wide variety of capital markets and securities transactions. The role involves handling underwritten offerings, registered direct offerings, confidentially marketed public offerings (CMPOs), and other equity and debt transactions. This is an excellent opportunity to work on complex, high-profile deals across a broad range of industries, gaining exposure to market-leading clients and transactions.
Key Responsibilities:
Advising clients on a broad range of capital markets transactions, including underwritten offerings, registered directs, and CMPOs.
Drafting and negotiating transaction documents, including offering materials, underwriting agreements, and other securities-related documents.
Managing all aspects of securities law compliance, including the preparation of SEC filings and regulatory submissions.
Working closely with partners and senior attorneys on deal structuring, execution, and client management.
Providing strategic, commercially focused legal advice to clients, ensuring successful execution of capital markets transactions.
Candidate Requirements:
4-8 years of experience in capital markets and securities transactions at a leading law firm.
Strong background in underwritten offerings, registered directs, and CMPOs.
Strong academic credentials and admission to the New York Bar.
Excellent drafting, negotiation, and communication skills, with the ability to manage complex transactions independently.
A proactive, client-focused attitude with the ability to work both collaboratively and independently in a fast-paced environment.
