A highly regarded law firm with a robust corporate practice is seeking a skilled and motivated corporate associate for its New York office. This position offers the opportunity to work on sophisticated transactions, with a primary focus on venture capital and mergers and acquisitions (M&A).
Responsibilities:
* Represent venture capital firms, startups, and established companies in financing transactions, including equity and debt investments.
* Advise on M&A transactions, including buy-side and sell-side deals, from initial negotiation through to closing.
* Draft, review, and negotiate complex transaction documents such as stock purchase agreements, merger agreements, term sheets, and financing documents.
* Conduct due diligence and oversee the coordination of deal closings.
* Collaborate with cross-functional teams, including tax, employment, and intellectual property, to deliver comprehensive client solutions.
* Build and maintain strong client relationships while managing client expectations and needs.
Qualifications:
* 2-4 years of experience at a leading law firm, with a focus on venture capital or M&A transactions.
* Superior academic credentials from a top-tier law school.
* Exceptional verbal, written, and interpersonal communication skills.
* Demonstrated ability to manage multiple priorities in a fast-paced environment.
* A proactive approach to client service, with the ability to work independently and collaboratively.
Compensation and Benefits:
